Subscription Terms & Conditions Duplicate

SOFTWARE SUBSCRIPTION TERMS AND CONDITIONS 

All online prices exclude GST. Minimum contract term of 24 months, then agreements continue on a month to month basis.  * Online monitored cloud backup must be setup by our support team and has a one-off set up fee of $99. Cloud backup is compulsory with HB Pay features. # Education is subject to availability and bookings are essential, hours expire at the end of each calendar year. Hairware Beautyware Elite, Mini or Micro Software licences are included within the subscription packages, Each licence is limited to one location. Ongoing software updates and unlimited phone support is also included, Up to 4 Additional Network connections at the single location are included. Up to 2 remote or iPad licences are included. Additional remote connection software Licence maybe purchased at a once off cost of $199. Support opening hours are AEST/AEDST.

If the subscription price increases after the initial 24 months, we will automatically update your payments. We won’t increase the price unless we have provided you with at least 30 Days’ notice in writing to the email account provided by you. 30 Days notice is required to cancel after the initial 24 months.

1. Background:

1.1 The Customer has previously purchased a perpetual licence to use the Software (“Legacy Licence”), and this Agreement governs the ongoing provision of support and software maintenance services by Salon Software Ltd.

1.2 This Agreement does not grant a licence to use the Software and does not replace or supersede any previously granted licence

2. Definitions

  Software: Hairware and Beautyware software products licensed under a Legacy Licence.

  Maintenance Services: Includes bug fixes, software updates, phone/email support, and remote support access.

  Support Hours: Monday to Friday 9:00am–9:00pm, Saturday 9:00am–3:00pm NZ time.

  Customer Data: All data entered into or generated by the Software.

3 Scope of Services

3.1 Salon Software Ltd will provide the following Maintenance Services:

  – Ongoing access to software updates and patches;
  – Technical support via phone, email, and remote access;
  – Troubleshooting of bugs or issues related to the Software.

Note: Software updates provided under this Agreement are limited to bug fixes, minor improvements, and compatibility updates necessary to maintain operational functionality.

3.2 These services do not include:

  – Access to new software modules, versions, or major feature enhancements not covered under the original Legacy Licence;
  – On-site support unless separately agreed;
  – Training services unless separately purchased.

4. Fees and Payments

4.1 The Customer agrees to pay a monthly or annual maintenance fee as set out in the invoice or payment schedule.

4.2 The maintenance fee does not include a licence to use the Software, as that was granted separately and in perpetuity.

4.3 Fees must be paid in advance. Failure to pay may result in suspension of support services.

5. Data and Ownership

5.1 The Customer retains ownership of all data entered into or generated by the Software

5.2 Salon Software Ltd does not claim ownership over any Customer Data and will only access such data with the Customer’s consent for support purposes.

6. Customer Responsibilities

6.1 The Customer is responsible for:

  – Maintaining backups of their data
  – Ensuring their systems meet any minimum technical requirements;
  – Cooperating with Salon Software Ltd when remote access is required for support.

7. Terms and Termination

7.1 This Agreement will commence on the Effective Date and remain in force until terminated by either party with 30 days’ written notice.

7.2 Either party may terminate this Agreement immediately if the other party commits a material breach that is not remedied within 14 days of written notice.

7.3 Upon termination, the Customer retains use of the licensed Software under their original licence terms, but support and updates will cease.

8. Limitation of Liability

8.1 Salon Software Ltd will use reasonable care to provide Maintenance Services but does not warrant that the Software will be error-free or that issues will be resolved immediately.

8.2 Salon Software Ltd is not liable for:

  – Loss of data;
  – Damages arising from use outside the scope of the Software;
  – Indirect, consequential, or incidental damages

9. Complicance and Law.

9.1 This Agreement is governed by the laws of New Zealand

9.2 The Customer acknowledges that they are acquiring services for business use and the Consumer Guarantees Act 1993 does not apply.
